These Terms & Conditions ("Terms") govern your access to and use of SoulCypher's websites, products, and services (collectively, the "Services"), operated by SoulCypher Inc. ("SoulCypher," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Use of the Services

SoulCypher provides tools that allow creators, investors, and other individuals to build, train, and deploy AI-driven "digital twins" that can interact with audiences, clients, and fans on their behalf. You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

2. Digital Twins and Content You Provide

When you create a digital twin, you may provide voice, video, text, images, or other materials ("Source Content") that SoulCypher uses to train and operate your digital twin. You represent and warrant that you own or have the necessary rights to all Source Content you submit, and that its use by SoulCypher will not infringe or violate the rights of any third party.

You retain ownership of your Source Content. You grant SoulCypher a worldwide, non-exclusive, royalty-free license to host, process, and use your Source Content solely to provide, maintain, and improve the Services and to operate your digital twin as directed by you.

3. Acceptable Use

You agree not to use the Services to: (a) impersonate any person without authorization; (b) create a digital twin of another individual without their consent; (c) violate any applicable law or regulation; (d) distribute malware or engage in unauthorized data collection; or (e) infringe the intellectual property or privacy rights of others.

4. Fees and Payment

Certain features of the Services may require payment of fees. All fees are described at the time of purchase and are non-refundable except as required by law or as otherwise stated in a separate agreement.

5. Intellectual Property

The Services, including all software, design, and underlying technology, are owned by SoulCypher or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use SoulCypher's trademarks, logos, or brand features without prior written consent.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SOULCYPHER DOES NOT WARRANT THAT DIGITAL TWIN OUTPUT WILL BE ACCURATE, RELIABLE, OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULCYPHER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

8. Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms. You may stop using the Services and request deletion of your account at any time.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by posting a notice on this page or through the Services. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
